These Terms of Service ("Terms") govern your use of the websites, client portal, forms, communications, and services of Vernon Tech & Media LLC ("VTM," "we," "us," or "our"), based in Katy, Texas (together, the "Services"). By using the Services you agree to these Terms.
VTM provides web development, marketing, media production, CRM, and related technology services. Specific deliverables, timelines, and fees for client engagements are set out in a separate proposal or service agreement, which controls if it conflicts with these Terms.
You agree to provide accurate information, the access and materials we reasonably need to perform the Services, and timely feedback and approvals. You are responsible for the content and legal rights of materials you provide to us.
Fees, deposits, and payment schedules are as stated in your proposal or service agreement. Unless stated otherwise, invoices are due on receipt, and late or unpaid balances may pause work.
If you opt in, VTM may send you text messages about your account, projects, and appointments, plus occasional offers. You opt in by providing your mobile number and agreeing on our sign-up form (for example at vernontm.com/sms-consent). Consent to receive texts is not a condition of any purchase.

Work products are licensed or transferred to you as described in your service agreement, typically on full payment. VTM retains ownership of its pre-existing tools, templates, and know-how, and may display completed work in its portfolio unless you request otherwise in writing.
The Services are provided "as is" without warranties of any kind to the fullest extent permitted by law. To the extent permitted by law, VTM's total liability arising out of the Services will not exceed the fees you paid for the specific engagement giving rise to the claim. VTM is not liable for indirect, incidental, or consequential damages.
These Terms are governed by the laws of the State of Texas, without regard to conflict-of-laws rules. The exclusive venue for disputes is the state or federal courts located in Texas.
We may update these Terms from time to time. When we do, we will revise the "Last updated" date above. Your continued use of the Services after changes take effect means you accept the updated Terms.
